ＨＯＹＡ、敵対的買収提案　半導体製造装置の東芝子会社

　ＨＯＹＡは１３日、東芝子会社で半導体製造装置を手掛けるニューフレアテクノロジーに対し、ＴＯＢ（株式公開買い付け）を条件付きで開始する用意があると発表した。東芝は現在、ニューフレアを完全子会社化するため、別の子会社を通じてＴＯＢを実施中で、横やりを入れられた形。東芝は提案を拒否する方針だ。
　ＨＯＹＡは２０２０年４月にＴＯＢを始め、完全子会社化を目指す。しかし、ニューフレア株式の５２．４％を持つ東芝側が応じないとＴＯＢは成立しない。東芝は１３日、「われわれのＴＯＢ成立を目指す予定に変わりはない」（広報・ＩＲ室）と説明した。
　ＨＯＹＡは１株の買い付け価格を東芝側より１０００円高い１万２９００円と設定。ＨＯＹＡが全株取得した場合の買収額は１４７７億円。（2019/12/13-16:35）

Hoya Proposes Unsolicited Bid for Toshiba Unit

Hoya Corp. said Friday it plans to launch a tender offer for NuFlare Technology Inc. , a Toshiba Corp. subsidiary producing chipmaking equipment, countering Toshiba's ongoing bid for the unit.
Hoya said it will start the tender offer after certain preconditions are met. These include Toshiba's bid for the unit through another subsidiary ending in failure.
