東証１部企業、８割超「プライム」へ　基準未達３００社、中堅向け移行も―市場選択、３０日期限

　来年４月の東京証券取引所の市場再編で、東証１部上場約２２００社の８割超が、最上位の「プライム市場」に移行する見通しとなった。このうち３００社近くは上場基準に達しておらず、「経過措置」の適用を受ける。一方、１部から中堅向け「スタンダード市場」への移行も少なくない。市場選択は３０日が期限。東証は１月１１日に結果を公表する。
　再編は、各市場の特徴を明確にして一層の投資を呼び込むのが狙いで、現在の４市場（東証１、２部、ジャスダック、マザーズ）はプライム、スタンダードと新興企業中心の「グロース市場」となる。プライムの上場基準は、市場で売買される流通株の時価総額が１００億円以上、比率が３５％以上などと厳格化された。
　ただ、基準を満たさなくても、達成への「適合計画書」を提出すれば当面は希望する市場にとどまることができる。みずほ信託銀行によると、プライム移行に向け、２８日時点で２９４社が計画書を開示。流通株比率などが基準に達しない企業が多かったほか、「企業統治指針で促される気候変動リスクの開示を課題に挙げる声も強かった」という。
　各社は計画書で、取引先などとの株の持ち合い解消、情報開示の充実といった対策を掲げる。株主還元の拡充などを投資家にアピールする姿勢も見られた。もっとも、計画期間が約８年半に及ぶケースもあり、東証が今後定める「経過措置」期間を超えれば、プライムからの「退場」を迫られる可能性がある。
　一方、１部上場の２８７社はスタンダードを選択。プライム基準の厳しさを敬遠した企業があるほか、事業の実態を再確認し前向きに判断した企業もあるようだ。このほか、マザーズ上場のメルカリなどは将来のプライム入りを目指す。
　再編は国際金融市場における東証の魅力向上が目的だが、企業の選別が限定的で、外国人投資家の注目度は低いとされる。とはいえ、「方向性は正しい。さらに改善を続けてほしい」（米資産運用会社）との期待もあり、これに応えられるかが問われている。（2021/12/30-07:16）

Over 80 pct of around 2,200 companies currently listed on the Tokyo Stock Exchange's first section are expected to join the TSE's new top-tier "Prime" section under the exchange's market reorganization in April next year.
   Of them, nearly 300 companies do not meet the listing standards for the Prime section, but they can still be listed on the new section on a temporary basis.
   Some companies are looking to move to the new mid-tier "Standard" section from the TSE's first section.
   The deadline for companies to choose which market they will join under the realignment is set for Thursday, with the TSE releasing the results of screening on Jan. 11.
   Under the reorganization, aimed at encouraging more investments by clarifying each section's characteristics, the existing first and second sections and the Mothers and Jasdaq markets for startups will be reorganized into the Prime section, the Standard section and the "Growth" section for startups.
