ユニゾ、従業員がＴＯＢ　米投資会社と共同で

　ホテル事業などを手掛けるユニゾホールディングスは２２日夜、従業員と米投資会社ローンスターが共同で、ＴＯＢ（株式公開買い付け）を実施すると発表した。全株取得を目指しており、実現すればユニゾは上場廃止になる。ユニゾは、このＴＯＢに対する賛同を表明した。
　ユニゾをめぐっては、別の米投資ファンドなどが争奪戦を繰り広げていたが、従業員の雇用確保などで対立が続いていた。ユニゾが東証に聞いたところ、従業員による買収は日本の上場企業では初めてという。
　従業員側が７３％、ローンスターが２７％を出資して設立した新会社が、１株５１００円で２４日からＴＯＢを実施する。３分の２超のユニゾ株を取得した上で、最終的に完全子会社化する。買収実現後、現在のユニゾ経営陣は全員辞任する。（2019/12/23-00:44）

Employees to Start Tender Offer for Hotel Chain Unizo

Unizo Holdings Co. said Sunday that a company jointly set up by its employees and U.S. investment firm Lone Star will launch a tender offer for the Japanese hotel operator on Tuesday.
The Unizo employees and Lone Star are aiming to acquire all outstanding shares in Unizo, listed on the first section of the Tokyo Stock Exchange. If the planned buyout proves successful, Unizo will be delisted. Unizo expressed its support for the tender offer.
